1. Payments and Billing
Payment Due: Payments are due immediately upon completion of service unless an alternative agreement is established.
Credit Card on File: Clients not enrolled in a 12-month subscription plan must maintain a valid credit card on file. We will automatically charge this card upon service completion.
Subscriptions: We offer a 12-month subscription plan for ongoing maintenance. Because this is a subscription model, payments are non-refundable.
Late Fees and Collections: If an auto-payment fails, we will initiate collection efforts. Late fees will be applied to past-due balances to the maximum extent permitted by law.
2. Cancellations and Weather Delays
Cancellation Notice: Clients may cancel or reschedule services by providing at least 24 hours of notice prior to the scheduled work.
Deposits: Late cancellations may result in the forfeiture of deposits to cover purchased materials or displaced business.
Weather Delays: Exterior maintenance is subject to weather conditions. In the event of a rain delay, we will make every reasonable accommodation to reschedule. During periods of prolonged severe weather, we may skip the delayed service and resume on the next regularly scheduled cycle.
3. Property Access and Integrity
Preparation: Clients must ensure work areas, water hookups, and gates are fully accessible. We reserve the right to refuse service if access is blocked by vehicles, heavy furniture, or debris.
Delicate Surfaces: To prevent structural damage, we reserve the right to refuse pressure washing or soft washing on surfaces that are heavily damaged, rotting, or improperly sealed.
4. Safety and Right to Refuse Service
We reserve the right to immediately halt or refuse service under the following conditions:
Unsafe Conditions: If the property presents a threat to our crew, including faulty electrical outlets near water, structurally unstable roofs, or
severe weather.
Biohazards: If the property contains hazardous chemical spills, hoarding conditions, or excessive animal waste.
Aggressive Animals: All pets must be secured indoors during service. We will deny service if unrestrained or aggressive animals are present.
Outstanding Balances: Service will be suspended if a client carries past-due invoices from previous services.
Scope Creep: We will not accommodate on-the-spot requests for extra work outside the initial quote until a new price is formally approved.
5. Client Conduct
We strictly enforce a zero-tolerance policy for verbal abuse, harassment, threats, or discrimination directed at our field technicians or office staff. Violations will result in immediate termination of service.
6. Non-Discrimination Statement
UPKEEP complies with all applicable laws and never refuses service based on race, religion, color, national origin, gender, sexual orientation, age, or disability.
7. Hidden Property Elements and Liability
Duty to Disclose: The client is legally responsible for marking or mapping out all hidden utilities prior to our arrival. Clients must physically flag all underground sprinkler heads, valve covers, shallow drip lines, exposed landscape lighting wires, fiber optic lines, and shallow cable television wires. The client must also disclose the exact perimeter path of any underground pet containment wires.
Liability Waiver (Hold Harmless): UPKEEP takes every precaution to avoid property damage. However, we are not liable for damage to underground, hidden, or unmarked property elements, including, but not limited to, sprinkler systems, invisible dog fences, satellite cables, low-voltage lighting wires, and improperly buried utilities. By agreeing to these terms, the client accepts all financial responsibility for repairs to unmarked items.
Safety and Right to Refuse: Our field crew has the immediate authority to walk away from a job or refuse service due to visible negligence or failure to prep. This includes encountering completely exposed, unburied main electrical or utility cables that pose an electrocution hazard to our lawnmowers or soft-washing equipment, or a client failing to flag a complex sprinkler system as promised.
Utility Locates for Aeration and Digging: If a scheduled service involves deep core aeration, fence post repair, or heavy landscaping, work will be refused until the local 811 Diggers Hotline has marked all public main utility lines (gas, electric, and water). Because 811 does not mark private lines like dog fences or irrigation systems, the client remains entirely responsible for marking those private elements as outlined in the Duty to Disclose.
8. Governing Law and Dispute Resolution
Jurisdiction: Any disputes, claims, or controversies arising out of or relating to these Terms and Conditions shall be governed by the laws of the State of Tennessee.
Venue: All legal actions, lawsuits, or proceedings must be filed and brought exclusively in the local, state, or federal courts located within Rutherford County, Tennessee.
